IN-604-1 Research Issues in International Corporate Governance

The course builds on IN-600 Core Course 2: International Strategy and Structure.
On successful completion of the course the student will be able to: Understand the role and function of corporate governance in multiple countries - and the role of internationalization of corporate governance practices Develop and in-depth understanding of complementary and competing theoretical approaches in this field of study Create a basis for development of a research problem
The objective of this course is to provide the students with an overview of the research frontier in international corporate governance. The main focus is on the company level, i.e. on how good corporate governance may benefit company performance, but in the understanding that firm-level success is achieved on the basis of the national corporate governance mode that firms face. The course takes a cross-disciplinary approach; capitalizing on research from economics, finance, management, strategy, and accounting. Content: What is corporate governance? Corporate governance and performance A system perspective on corporate governance: markets-based versus bank-based systems. External and internal mechanisms of corporate governance: an overview CEO compensation and managerial incentives Regulation and corporate governance Ownership and control Family ownership Board effectiveness; monitoring, mentoring, and resource access Government Ownership and Privatization Banks and corporate governance The research frontier in corporate governance
Students will be assessed based on a theoretical or empirical term paper of approximately 20-30 pages. Pass/fail assessment.
